GENERAL TERMS OF SERVICE

These General Terms of Service (“Terms”) govern your access to and use of the Court Zapper platform, mobile application, website, and all related services (collectively, the “Platform”) operated by ME PUG LLC, a Utah limited liability company, doing business as Court Zapper (“Court Zapper,” “we,” “our,” or “us”). By accessing or using the Platform in any capacity, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

These Terms apply to all users, including Hosts and Renters. Hosts must also agree to the Court Zapper Host Platform Agreement and Limitation of Liability. Renters must also agree to the Court Zapper Renter Assumption of Risk, Waiver of Liability, and Indemnification Agreement. All Bookings are additionally governed by the Court Zapper Booking & Refund Policy, which is incorporated into these Terms by reference. In the event of a conflict, the role-specific agreement controls.

1. DEFINITIONS

• Platform: The Court Zapper mobile/web application, website, software, and all related services.
• Host: Any individual or entity that lists a Court on the Platform for rental.
• Renter: Any individual or entity that books or uses a Court through the Platform.
• Court: Any pickleball court, tennis court, or other recreational facility listed on the Platform.
• Booking: A confirmed reservation by a Renter to use a Court for a specified date, time, and duration.
• User: Any person or entity that accesses the Platform, whether as a Host, Renter, or visitor.

2. COURT ZAPPER’S ROLE — BROKER ONLY

Court Zapper is solely a technology-enabled marketplace and payment intermediary. Court Zapper is NOT an owner, operator, lessor, manager, inspector, or controller of any Court listed on the Platform.

Court Zapper does not inspect, maintain, supervise, or guarantee the condition, safety, suitability, or legality of any Court. All Courts are privately owned and operated by independent Hosts. Nothing in these Terms creates an employment, partnership, joint venture, franchise, or agency relationship between Court Zapper and any User.

3. ELIGIBILITY

You must be at least 18 years of age to create an account, list a Court, book a Court, or otherwise enter into any agreement on the Platform. Individuals under 18 may not create an account or act as a Host or Renter under any circumstance, including with parental or guardian consent. A minor may participate in play only as a Guest of an adult Renter, as permitted under and subject to the Renter Agreement.

4. ACCOUNTS AND REGISTRATION

You agree to provide accurate, complete, and current information and to update it as needed. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify Court Zapper immediately of any unauthorized use.

5. PROHIBITED CONDUCT

Users shall not:

• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation;
• Misrepresent identity, qualifications, or any material information;
• Use the Platform to harass, threaten, or harm any other user;
• Attempt to circumvent the Platform’s payment system or booking process;
• Introduce malicious code, viruses, or any technology that harms the Platform;
• Scrape, reproduce, or commercialize any Platform content without written permission; or
• Encourage or facilitate any of the above.

6. INTELLECTUAL PROPERTY

All content, trademarks, logos, software, and materials on the Platform are the exclusive property of Court Zapper or its licensors. Users may not copy, reproduce, modify, distribute, or create derivative works without Court Zapper’s prior written consent.

7. PAYMENTS AND FEES

Court Zapper collects rental fees from Renters on behalf of Hosts and remits the Host Fee (after deducting Court Zapper’s service fee) per the schedule communicated through the Platform. Court Zapper’s fee structure is subject to change with notice. All fees are non-refundable except as expressly provided in the Court Zapper Booking & Refund Policy.

8. DISCLAIMER OF WARRANTIES

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED AVAILABILITY. COURT ZAPPER EXPRESSLY DISCLAIMS ALL WARRANTIES REGARDING ANY COURT LISTED ON THE PLATFORM, INCLUDING ITS SAFETY, CONDITION, OR SUITABILITY.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COURT ZAPPER’S TOTAL CUMULATIVE LIABILITY TO ANY USER SHALL NOT EXCEED THE LESSER OF (A) THE TOTAL FEES PAID BY OR TO THAT USER IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

COURT ZAPPER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR PERSONAL INJURY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. COURT ZAPPER EXPRESSLY DISCLAIMS ALL LIABILITY FOR PERSONAL INJURY, DEATH, OR PROPERTY DAMAGE ARISING FROM ANY BOOKING OR USE OF ANY COURT.

10. INDEMNIFICATION

Each User agrees to defend, indemnify, and hold harmless Court Zapper and its members, managers, officers, employees, agents, successors, and assigns from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) the User’s use of the Platform; (b) breach of these Terms or any role-specific agreement; (c) violation of any applicable law or third-party right; or (d) any personal injury, death, or property damage caused by the User or the User’s guests.

11. PRIVACY

Your use of the Platform is governed by Court Zapper’s Privacy Policy, incorporated into these Terms by reference.

12. THIRD-PARTY LINKS AND SERVICES

The Platform may contain links to third-party websites. Court Zapper is not responsible for the content or practices of any third party. Use of third-party services is at your own risk.

13. MODIFICATIONS TO TERMS

Court Zapper may update these Terms at any time. Updated Terms will be posted on the Platform with a revised effective date. Continued use after such posting constitutes acceptance.

14. TERMINATION

Court Zapper may suspend or terminate any User’s access at any time, with or without cause or notice. Sections 8, 9, 10, 15, and 16 survive termination.

15. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of the State of Utah. Disputes shall be resolved exclusively in state or federal courts in Salt Lake County, Utah. The prevailing party shall recover reasonable attorneys’ fees and costs.

16. MISCELLANEOUS

• Entire Agreement: These Terms, the applicable role-specific agreement, the Court Zapper Booking & Refund Policy, and the Privacy Policy constitute the entire agreement between Court Zapper and each User.
• Severability: If any provision is unenforceable, remaining provisions continue in full force.
• No Waiver: Failure to enforce any provision is not a waiver of future enforcement.
• Assignment: Users may not assign rights without Court Zapper’s written consent. Court Zapper may assign freely.
• Electronic Agreements: Clicking “I Agree” or using the Platform constitutes a legally binding electronic signature.
